Terms of Use:	ASUS ACCESS END USER LICENSE AGREEMENT NOTICE: This is a legally binding contract between you (“You” and “Your”), the end user, and ASUSTeK Computer Inc., ASUS ACCESS (“ASUS ACCESS” or “ASUS” or “we” and “us” or “our”). ASUS ACCESS PROVIDES THE SOFTWARE AND/OR SERVICE TO YOU ONLY UPON THE CONDITION THAT YOU ACCEP ALL OF THE TERMS AND CONDITIONS CONTAINED IN THIS AGREEMENT. BY CLICKING ON THE “ACCEPT” OR “YES” BUTTON OR OTHERWISE ASSENT ELECTRONICALLY, BY INSTALLING OR USING ASUS ACCESS, BY ACCESSING ANY WEB SITE OWNED OR CONNECTED TO ASUS ACCESS, YOU ARE INDICATING THAT YOU HAVE READ AND UNDERSTOOD THIS AGREEMENT, AND THAT YOU AGREE TO BE BOUND BY ALL OF ITS TERMS AND CONDITIONS. THIS AGREEMENT SETS FORTH YOUR RIGHTS AND OBLIGATIONS WITH RESPECT TO USING ANY VERSION OF ASUS ACCESS, ANY INFORMATION OR DATA OF ANY KIND OF NATURE, INCLUDING BUT WITHOUT LIMITATION TO ANY ARTWORK, TEXT, VIDEO, AUDIO, OR PICTURES SERVED THROUGH ASUS ACCESS (COLLECTIVELY THE “CONTENT”). IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, DO NOT CONTINUE THE REGISTRATION PROCESS AND ASUS ACCESS WILL NOT BE LICENSED TO YOU. YOU SHOULD THEN DELETE ANY DOWNLOADED COPIES OF ASUS ACCESS AND CEASE USING ANY CONTENT OR SERVICES PROVIDED THROUGH ASUS ACCESS. 1. Scope of License By downloading, registering, or using ASUS ACCESS, you may be eligible to enjoy some free access or subscription services. The subscription service gives you instant, unlimited access to high quality streams and conditional downloads of our digital content files, provided that our digital content is subject to respective restrictions and digital rights management restrictions applicable to such digital content. You are forbidden to and shall not: (1) modify, translate, reverse engineer, decompile, disassemble (except to the extent that this restriction is expressly prohibited by law) or create derivative works based upon the application or any portion thereof; (2) copy ASUS ACCESS or any portion thereof; (3) sell, rent, lease, transfer, distribute, broadcast, display or otherwise assign any rights to ASUS ACCESS to any third party; (4) remove any proprietary notices or labels on ASUS ACCESS; (5) use ASUS ACCESS in conjunction with any device or service designed to circumvent technological measures employed to control access to, or the rights in, a content file or other work protected by the copyright laws of any jurisdiction; (6) use ASUS ACCESS for any commercial or illegal purpose; (7) use ASUS ACCESS to invade the privacy of, or obtain personal information about, any ASUS ACCESS account holder or user, or to obtain a list of ASUS ACCESS software account holders or users; (8) copy, modify, erase or damage any information contained on computer servers used or controlled through ASUS ACCESS or any third party used in connection with the ASUS ACCESS or the services provided through ASUS ACCESS; (9) use ASUS ACCESS to violate any legal right of any third party, including any publicity or privacy right, copyright or other intellectual property right, or to take any action that is harassing, libelous, defamatory, abusive, tortuous, threatening, harmful or otherwise objectionable; or use any data mining, robots, or similar data gathering and or extraction tools in connection with ASUS ACCESS; (10) use ASUS ACCESS to post or transmit any unsolicited advertising or promotional materials; (11) access or use any password protected, secure or non-public areas of ASUS ACCESS except as specifically authorized in writing (unauthorized individuals attempting to access these areas of ASUS ACCESS may be subject to prosecution); or (12) impersonate or misrepresent your affiliation with any person or entity. NOTICE: when you subscribe to our service, you agree to the ASUS ACCESS Terms and Conditions and Privacy Policy. Any information that you supply to us will be governed by the Terms and Conditions, as well as the terms described in the Privacy Policy. 2. Upgrades You acknowledge that we, in our sole discretion, may issue upgraded versions of ASUS ACCESS from time to time, and may automatically electronically upgrade the version of ASUS ACCESS that you are using on your device. You consent to such automatic upgrading, and agree that this Agreement (as amended from time to time in our sole discretion) will govern all such upgraded ASUS ACCESS versions. ASUS ACCESS will operate only on those hardware and software platforms specified in ASUS ACCESS documentation. It is your responsibility to ensure that you have the appropriate software, hardware and internet connection to operate the then-current version of ASUS ACCESS. We may modify the software at any time without notice, and may discontinue any service through ASUS ACCESS at any time without notice, and we also reserve all rights to cease supporting any hardware or software platform at any time, with or without notice. 3. Beta version In regards to the beta version release, your license to use ASUS ACCESS may expire with or without indication of time period after installation (or such other period as indicated by ASUS ACCESS) and ASUS ACCESS may be modified or cease to function. While we intend to distribute a commercial release of ASUS ACCESS, we reserve the right at any time not to release a commercial release of ASUS ACCESS or, if released, to alter features, specifications, capabilities, functions, licensing terms, release dates, general availability or other characteristics of the commercial release. You agree that the beta release or pre-release versions of ASUS ACCESS are not suitable for production use and may contain errors affecting their proper operation. You agree that you will not do anything to circumvent or defeat the features designed to stop ASUS ACCESS from operating after the license expires. 4. Registration It may not be required to register before installing or using ASUS ACCESS or services provided through ASUS ACCESS. However, you agree to provide true, accurate, current and complete information about yourself if prompted and requested by the registration process (such information being the "Account Information"). You agree to update your Account Information in order to keep such information current. During the registration process to use ASUS ACCESS, you will create a password and a user name. Once you have completed the registration process, we will set up an account for you. You are solely and entirely responsible for maintaining the confidentiality of your password and user name. Furthermore, you are solely and entirely responsible for any and all activities that occur under your account. 5. Third Party License and Materials ASUS ACCESS may enable access to third party licensors’ services and web sites. You acknowledge that by accessing their service through ASUS ACCESS, it may request your consent to accept new conditions and terms and additional terms of service that may be indicated by such third party. You also acknowledge and agree that we will not be responsible for the agreement between you and such third party. You understand that by using ASUS ACCESS, you may encounter content that may be indecent, or objectionable, which content may or may not be identified as have such nature. Nevertheless, you agree to use the ASUS ACCESS at your own discretion whether the third party licensor shall not have any liability to you for content that may be found offensive or objectionable. 6. COPYRIGHT You agree that any service provided through ASUS ACCESS contain proprietary content, information and material that share the nature of applicable intellectual property and other laws, including but not limited to copyright. No portion of ASUS ACCESS may be reproduced in any form or by any means to modify, rent, lease, load, sell, distribute, or create derivative works based. Unauthorized copying or distribution of copyrighted content is an infringement of the copyright holder's rights. At our discretion and in appropriate circumstances, we may revoke the license of users who infringe upon the copyright, or other intellectual property rights, of others. If you are an artist or other copyright holder who believes that our service is hosting or linking directly to infringing copies of your work, please let us know. 7. Disclaimer of Warranty THE ASUS ACCESS IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY REPRESENTATION OR WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE ASUS ACCESS OR ITS OPERATION. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, US AND ITS DISTRIBUTION AND SYNDICATION PARTNERS DISCLAIM ALL WARRANTIES, INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. USE OF ASUS ACCESS IS AT YOUR OWN RISK. WE MAKE NO WARRANTY THAT ASUS ACCESS WILL MEET YOUR REQUIREMENTS, OR THAT ASUS ACCESS WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE; NOR DOES ASUSTEK COMPUTER INC. MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE APPLICATION OR AS TO THE ACCURACY OR RELIABILITY OF ANY CONTENT OBTAINED THROUGH THE APPLICATION. WE MAKE NO WARRANTY REGARDING ANY GOODS, CONTENT OR SERVICES PURCHASED OR OBTAINED THROUGH THE APPLICATION OR ANY TRANSACTIONS ENTERED INTO THROUGH ASUS ACCESS SOFTWARE. 8. Limitation of liability THE ENTIRE RISK ARISING OUT OF THE USE AND/OR PERFORMANCE OF ASUS ACCESS REMAINS WITH YOU. IN NO EVENT SHALL US, ITS DISTRIBUTION AND SYNDICATION PARTNERS OR LICENSORS OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS OR AFFILIATES BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, DIRECT, INDIRECT, SPECIAL, PUNITIVE, OR OTHER DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE USE OF OR INABILITY TO USE ASUS ACCESS OR ANY PART THEREOF, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU, BUT THEY SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW. 9. Indemnity You agree to indemnify and hold ASUSTeK Computer Inc, ASUS ACCESS and its parents, members, subsidiaries, affiliates, service providers, syndicators, distributors, licensors, officers, directors and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to, or arising out of or related to your violation of this Agreement, or your violation of any law, regulation or third-party right. 10. Termination This Agreement is effective until terminated by you, us, or the licensors. Your rights to use ASUS ACCESS will be terminated automatically without notice if you fail to comply with any of the terms and conditions mentioned in this Agreement. Upon termination of this Agreement, you shall cease all use of ASUS ACCESS or any of its services either in copies, full or partial. 11. Governing Law ASUS ACCESS is provided with restricted rights. This Agreement shall be governed by, and construed in accordance with, the substantive laws of Republic of China.
